loss risk
All items purchased from calvinfabrics.com are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.
terms
NET 30 DAYS on approved credit.
Calvin Fabrics reserves the right to establish, change or cancel credit terms at its discretion and may request advance payment at any time. A non-refundable deposit may be required on special orders.
Customer is responsible for timely payment on account and shall be liable for collection expenses, including attorney’s fees that may become necessary to effect collection of the account.
No salesperson, agent or representative is authorized to alter the following terms and conditions of sale.
pricing
All prices are net wholesale F.O.B. Medford, OREGON.
CUSTOMER IS RESPONSIBLE FOR ALL SHIPPING AND HANDLING CHARGES, WHICH SHALL BE REFLECTED ON ALL INVOICES.
Except where noted otherwise, the price displayed for products on our website represents the full wholesale price listed on the product itself. With respect to items sold by calvinfabrics.com, we cannot confirm the price of an item until you order; however, we do NOT charge your credit card until after your order has entered the shipping process.
Prices are subject to change without notice. Please confirm current prices with your Calvin representative or you may call toll-free (888) 732-1996 Monday through Friday from 8:00 A.M. - 5:00 P.M. Pacific Time.
reserves
All reserves shall be accepted based upon 1) the order in which they are placed and 2) availability of goods.
Reserves may be placed for ten working days, after which time they will automatically expire without notice. Renewal is contingent upon availability.
cfas
Cuttings-for-approval are strongly recommended before authorization to ship. Shipped fabrics may deviate from swatch, memo, showroom and purchase samples because of variations in dyes, dye lots, yarns and spinning lots.
When a shipment is to be made directly to a workroom, please forward a CFA to the fabricator for identification purposes.
When requesting CFAs, please state yardage requirements so that the appropriate pieces may be assigned.
NO RETURN OF MERCHANDISE WILL BE ACCEPTED IF A CFA HAS BEEN WAIVED.
ordering
Minimum order: one yard. All orders in one yard increments.
Specification of cut lengths required for draperies and wallcoverings is recommended in the event an allowance must be made.
delivery
Calvin Fabrics is not liable for delay or failure to deliver or perform due to strikes, labor difficulties, war, compliance with government regulations, acts of God, failure or delay of supply sources, transportation impediments or any causes beyond Calvin Fabrics’ control.
international
Customer is responsible for all duties, tariffs, value added taxes, etc. attendant to orders designated for shipment outside the United States. Same is applicable to merchandise returned through United States Customs.
In compliance with the Textile Fiber Products Identification Act: All swatch books, samples and price lists are labeled with yarn content and country of origin.
The country of origin is shown on all imported fabrics. All other fabrics are domestic.
Continuing guaranty under the Textile Fiber Products Identification Act is filed with the Federal Trade Commission.
returns
No merchandise may be returned without Calvin Fabrics’ prior consent, shipping instructions and Return Authorization (RA) number marked on the package(s). Returns will not be accepted beyond 30 days from the date of authorization. Returns will not be considered if submitted beyond 90 days from the invoice date.
A 20% service and cutting charge will be placed on all returns unless otherwise exempted by management.
NO RETURN OF MERCHANDISE WILL BE ACCEPTED IF A CFA HAS BEEN WAIVED.
claims
EXAMINE ALL MERCHANDISE FOR CORRECT COLOR, YARDAGE AND ANY IRREGULARITIES BEFORE CUTTING AND/OR PROCESSING. NO CLAIMS OR RETURNS WILL BE ALLOWED ONCE A FABRIC HAS BEEN CUT OR TREATED.
All claims must be filed within 30 days from the invoice date.
Claims for labor charges WILL NOT BE CONSIDERED UNDER ANY CIRCUMSTANCES.
ALL FABRICS (UNLESS SPECIFIED HEREIN) BEAR AN “S” CLEANING CODE: DRY CLEAN ONLY BY A PROFESSIONAL. OUR FABRICS ARE NOT GUARANTEED AGAINST DISCOLORATION OR SHRINKAGE DUE TO WASHING OR CONTACT WITH ANY LIQUID.
Merchandise will not be accepted for credit once it has undergone processing such as flame-proofing, water repellency, stain resistance, backing, etc. Allowances must be made for residual shrinkage.
Topical treatment — including water — of any fabric may cause color change and shrinkage. Calvin Fabrics cannot be held responsible for any damage caused by this process.
No fabrics, dyed or natural, can be guaranteed against fading.
Calvin shall be responsible for no more than three wallcovering panels.
Custom Nano-Tex® orders are special orders; therefore, they are non-cancelable and non-refundable.
arbitration
Any dispute between Calvin Fabrics and Customer arising out of the purchase and/or use of Calvin fabric shall be submitted to binding arbitration before the American Arbitration Association pursuant to its Commercial Arbitration Rules-Expedited Procedures then in effect. The arbitrator shall determine the prevailing party and award administrative fees, arbitrator’s compensation and attorney's fees incurred in the proceeding. The arbitrator shall apply California law. The place of the location shall be San Francisco, California.
damages
CUSTOMER AGREES THAT CALVIN FABRICS SHALL NOT BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFIT OR REVENUE ARISING OUT OF THIS SALE AND/OR USE OF CALVIN FABRICS. ANY LIABILITY OF CALVIN SHALL BE LIMITED TO THE COST OF THE FABRIC AND SHIPPING COSTS.
